Introduction
Effective Date: 01st Jan 2026, Contona Inc, trading as Contona.ai is an AI-powered SaaS platform operated by Contona AI Limited, a company registered in England and Wales (collectively referred to as "Contona", "we", "us" or "our") governing your access to and use of the Contona platform and associated services.
By creating an account or using the Services in any way, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy and our Acceptable Use Policy. If you do not agree, you must not create an account or use the Services.

1. About Contona
Contona is an AI-powered SaaS platform that helps businesses and individuals harness artificial intelligence to streamline workflows, generate content, analyse data and build smarter processes. Our platform is provided exclusively for business, organisational or commercial purposes.

Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable right to access and use the Services during your active Subscription Period solely for your internal business operations.
2. Definitions

AI Features | Artificial intelligence and machine learning functionality made available through the Services, including content generation, analysis, automation and similar capabilities. |
Authorised Users | Employees or other individuals you authorise to use the Services under your Account, subject to the limits of your Subscription Plan. |
Content | All text, images, files, data, prompts, outputs and other material that you or your Authorised Users upload to, create in, or generate using the Services. |
Customer Content | Any Content provided or uploaded by you or your Authorised Users to the Services. |
Feedback | Comments, ideas, suggestions or proposals you submit to Contona regarding the Services. |
Fees | All subscription charges and applicable taxes as described on the Pricing Page or in an Order Form. |
Input | Text prompts, instructions, images, files or other material submitted by you to the AI Features of the Services. |
Order Form | An ordering document or online checkout flow that sets out your chosen Subscription Plan, term and applicable Fees. |
Output | Content generated or returned by the AI Features in response to your Input. |
Pricing Page | The current pricing information available at www.contona.ai/pricing. |
Services | The Contona AI platform, Website, APIs, integrations and all related features and functionality made available to you. |
Subscription Period | The monthly or annual period for which you have paid to access the Services. |
Subscription Plan | The tier of service you have subscribed to, as described on the Pricing Page. |
Website | Our website at www.contona.ai and any associated sub-domains. |
3. Accounts & Authorised Users
3.1 Creating an Account
To use the Services, you must create an Account by providing accurate, current and complete information. You are responsible for keeping your Account information up to date. Accounts are personal and may not be shared with or transferred to any other person or entity without our prior written consent.
3.2 Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must:
Keep your password and login credentials secure and not share them with any third party;
Immediately notify us at support@contona.ai if you suspect any unauthorised use of or access to your Account;
Ensure that your Authorised Users comply with these Terms at all times.
We are not liable for any loss or damage arising from your failure to maintain the security of your Account credentials.
3.3 Authorised Users
Depending on your Subscription Plan, you may authorise employees or other individuals to access the Services as Authorised Users. You are responsible and liable for your Authorised Users' use of the Services and their compliance with these Terms. Ensuring that all Authorized Users comply with these Terms and any Acceptable Use Policy published by Contona and maintain the confidentiality of all account credentials.
You must promptly revoke access for any Authorised User who no longer requires it or who has breached these Terms.
3.4 Restrictions
You shall not, and shall ensure your Authorized Users do not:
Sell, resell, license, or sublicense the Services.
Use the Services to store or transmit infringing, libelous, or otherwise unlawful material.
Attempt to gain unauthorized access to the Services or related systems or networks.
Reverse engineer, decompile, or attempt to extract the source code or underlying data of the Services.
Use the Services for competitive analysis or to build a competing product or service.
4. The Services
4.1 What We Provide
Contona provides an AI-powered SaaS platform including, without limitation: content generation and editing tools, workflow automation, data analysis, AI-assisted decision support, API access and collaboration features. The specific features available to you depend on your Subscription Plan.
4.2 Availability
We use commercially reasonable efforts to make the Services available 24 hours a day, 7 days a week. However, we do not warrant that the Services will be uninterrupted, error-free or completely secure. We may suspend access to the Services in order to:
Carry out scheduled or emergency maintenance or upgrades;
Address security incidents or technical problems;
Comply with applicable laws or regulatory requirements.
We will provide reasonable advance notice of planned maintenance where possible. Unplanned outages will be communicated through our status page at status.contona.ai.
4.3 Changes to the Services
We continually develop and improve the Services. We may update, modify or discontinue features, provided that the overall performance or core functionality does not materially decrease. We will notify you in advance of any material changes that may adversely affect your use of the Services.
4.4 Third-Party Services and Integrations
The Services may rely on or integrate with third-party providers, including AI model providers such as OpenAI, Anthropic and others. We make commercially reasonable efforts to maintain these integrations but do not guarantee the availability, uptime or performance of third-party services. Downtime or errors attributable solely to third-party providers do not constitute a breach of these Terms or our SLA Agreement. We are not liable for interruptions caused by third-party services.
5. AI Features & Outputs
5.1 Nature of AI Outputs
The AI Features process your Inputs to generate Outputs. You acknowledge and agree that:
Outputs are generated by AI models and may contain errors, inaccuracies, omissions or material that reflects biases present in training data;
Outputs may be identical or substantially similar to outputs generated for other users of the Services or third-party AI systems;
Outputs do not constitute professional advice (legal, financial, medical or otherwise) and should not be relied upon as such;
You are solely responsible for reviewing, verifying and determining the appropriateness of any Output before using, distributing or relying on it.
5.2 Human Review
Where the Services apply AI-generated changes, such changes will be staged for your review before being applied. You must approve any AI-generated change before it is published or transmitted to external systems. You are responsible for the consequences of approving and applying any Output.
5.3 Responsible Use of AI
You must not use the AI Features to generate, distribute or act upon Output that:
Is unlawful, harmful, misleading, defamatory, discriminatory, harassing or abusive;
Infringes any third-party intellectual property, privacy or other legal rights;
Constitutes or facilitates deepfakes, disinformation or synthetic media intended to deceive;
Could be used to create weapons, facilitate illegal activity or cause harm to any person.
5.4 No IP Warranty on Outputs
Due to the evolving legal landscape surrounding generative AI, we make no warranty that Outputs are original, that you will be able to claim copyright ownership of any Output, or that any Output does not infringe third-party rights. You use Outputs at your own risk and are solely responsible for any legal consequences arising from their use.
5.5 EU AI Act Compliance
Where the Services qualify as an AI system under applicable AI legislation, including the EU AI Act (Regulation (EU) 2024/1689) where applicable, Contona will maintain the transparency records and logs required by such legislation and will make them available to you upon written request to the extent required by law.
6. Acceptable Use
You must use the services in accordance with our acceptable use policy, see below; you must not:
Violate any applicable laws or regulations;
Upload or transmit viruses, malware, or any other harmful or disruptive code;
Attempt to gain unauthorised access to the Services, other accounts, or our infrastructure;
Reverse engineer, decompile, disassemble or attempt to derive source code or algorithms from the Services, except as expressly permitted by mandatory law;
Use the Services to develop a competing product or service, or to benchmark the Services for publication without our prior written consent;
Use automated tools to scrape, crawl or extract data from the Services in a manner that places unreasonable load on our infrastructure;
Store or process special-category personal data (as defined under UK GDPR) without a documented lawful basis.
We reserve the right to investigate suspected violations and to suspend or terminate Accounts found to be in breach of this section or the Acceptable Use Policy, without prior notice where necessary to prevent harm.
7. Intellectual Property
7.1 Our IP
All intellectual property rights in the Services, Website, platform, design, code, interfaces, trademarks, logos and documentation are and remain the exclusive property of Contona AI Limited or our licensors. Nothing in these Terms transfers any ownership of our intellectual property to you. You may not copy, modify, reproduce, republish or create derivative works from any of our proprietary materials without our prior written consent.
7.2 Your Content
You retain all rights, title and interest in and to your customer content. We do not claim ownership of your customer content.
7.3 Licence to Contona
To provide the Services, you grant Contona a worldwide, non-exclusive, royalty-free licence to access, host, process, store, copy and use your Customer Content solely to the extent necessary to provide, maintain, support and improve the Services. This licence terminates when you delete the relevant Customer Content or close your Account, subject to any backup or archival obligations.
7.4 Inputs and Outputs
We do not claim ownership of your Inputs or Outputs. However, you acknowledge that:
Similar or identical Outputs may be generated for other users of the Services;
We cannot guarantee that Outputs are free from third-party IP rights;
Your use of Outputs is at your own risk and subject to applicable law.
7.5 Service Analytics and Aggregated Data
We may collect and use aggregated, anonymised usage data, analytics and performance metrics derived from the operation of the Services. Such data does not identify you personally and is owned exclusively by Contona. We may use this data to operate, maintain, develop and improve the Services. No personal data or Customer Content is disclosed in non-anonymised form to third parties without your consent.
7.6 Feedback
If you submit Feedback to us, you irrevocably assign to Contona all rights, title and interest in that Feedback, including all intellectual property rights. We may use Feedback freely without restriction, compensation or attribution.
7.7 DMCA / Copyright Complaints
If you believe that any content on the Services infringes your copyright or other intellectual property rights, please send a notice to support@contona.ai with sufficient detail to identify the alleged infringement.
8. Payment Terms
8.1 Subscription Plans & Pricing
The Services are provided on a subscription basis. Details of our plans and current pricing are available on the Pricing Page. All prices are exclusive of VAT and other applicable taxes, which are payable in addition at the applicable rate.
8.2 Billing and Renewal
Subscriptions are billed monthly or annually in advance, as selected by you on the Order Form or at checkout. At the end of each Subscription Period, your subscription will automatically renew for the same term unless you cancel at least 5 days before the end of your current Subscription Period.
We reserve the right to change our prices. We will notify you of any price changes at least 30 days before they take effect. Price changes will apply from the start of your next Subscription Period. Your continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.
8.3 Payment
Payments are processed securely by our third-party payment provider, Stripe. By submitting payment information, you authorise us (via Stripe) to charge your chosen payment method for all applicable Fees. We do not store full payment card details. Stripe's terms and conditions apply to all payment transactions.
Unpaid amounts may accrue interest at 1% per month (or the maximum rate permitted by law, if lower). We reserve the right to suspend access to the Services for accounts with outstanding balances.
8.4 Refunds
All Fees are non-refundable except as expressly required by applicable law. We do not provide refunds for unused portions of a Subscription Period, partial months or dissatisfaction with the Services. If you cancel your subscription, you will retain access to the Services until the end of your current Subscription Period.
8.5 Free Plans and Trials
We may offer free plans or trial periods at our discretion. Free plans are subject to usage limits and may have restricted functionality. We reserve the right to modify or discontinue free plans at any time with reasonable notice.
9. Data Protection & Privacy
9.1 Privacy Policy
Our collection and use of personal data is governed by our Privacy Policy, available at www.contona.ai/privacy. By using the Services, you acknowledge that you have read and understood our Privacy Policy.
9.2 Data Processing
Where Contona processes personal data on your behalf as part of the Services (for example, personal data contained within Customer Content), the parties' data processing obligations are governed by our Data Processing Addendum (DPA), which is incorporated into these Terms by reference. A copy of the DPA is available at www.contona.ai/dpa or on request.
9.3 Your Responsibilities
You are responsible for ensuring that you have a lawful basis under applicable data protection law (including UK GDPR) for providing any personal data to the Services. You must not submit special-category personal data to the Services without a documented lawful basis and appropriate safeguards in place.
Please avoid including unnecessary third-party personal data in Inputs, prompts or file uploads.
10. Confidentiality
Each party agrees to treat the other party's non-public information as confidential and to use it only for the purposes of performing its obligations or exercising its rights under these Terms. Neither party will disclose the other's confidential information to any third party without prior written consent, except as required by law or to authorised personnel or advisors bound by equivalent confidentiality obligations.
Confidentiality obligations survive termination of these Terms for a period of 3 years, except in respect of trade secrets, which shall be protected indefinitely.
11. Warranties & Disclaimers
11.1 Your Warranties
You represent and warrant that:
You have the legal authority and capacity to enter into these Terms;
Your use of the Services and all Customer Content complies with applicable law and does not infringe any third-party rights;
You are responsible for the accuracy and legality of all Customer Content and Inputs.
11.2 Our Disclaimers
Except as expressly provided in these Terms, the Services are provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability and non-infringement.
We do not warrant that:
The Services will meet your specific requirements or expectations;
The Services will be uninterrupted, error-free or free from security vulnerabilities;
Any Output will be accurate, lawful, original or fit for any particular purpose;
Any defects in the Services will be corrected within any specific timeframe.
12. Limitation of Liability
12.1 Exclusion of Indirect Loss
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTONA SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF CONTONA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 Cap on Liability
CONTONA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY YOU TO CONTONA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM AROSE. IF YOU ARE ON A FREE PLAN, CONTONA'S LIABILITY SHALL BE LIMITED TO £100.
12.3 Exceptions
Nothing in these Terms limits or excludes either party's liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under applicable law.
12.4 Indemnification
To the extent permitted by law, you agree to indemnify, defend and hold harmless Contona, its affiliates, officers, directors, employees and licensors from and against any third-party claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising from or relating to: (i) your breach of these Terms or applicable law; (ii) your misuse of the Services; (iii) Customer Content that infringes third-party rights; or (iv) your use, distribution or reliance on any Output. This indemnification does not apply to claims arising from Contona's own negligence or breach of these Terms.
13. Term & Termination
13.1 Term
These Terms commence on the date you create an Account and continue until your subscription is terminated in accordance with this section.
13.2 Cancellation by You
You may cancel your subscription at any time by accessing your Account settings and following the cancellation instructions. Upon cancellation, you will retain access to the Services until the end of your current Subscription Period. We do not provide refunds for unused portions of a Subscription Period.
13.3 Termination by Contona
We may terminate or suspend your access to the Services with immediate effect by written notice if you:
Commit a material breach of these Terms that is not remedied within 14 days of written notice from us;
Fail to pay any amounts due within 30 days of the due date;
Become insolvent, enter administration, file for bankruptcy or undergo similar insolvency proceedings;
Use the Services in a manner that poses an immediate risk to the security, integrity or reputation of the Services or any third party.
13.4 Effect of Termination
On termination of your Account:
Your right to access and use the Services will cease;
We will delete or anonymise your personal data in accordance with our Privacy Policy and DPA, subject to legal retention obligations;
Customer Content may be retained for a limited period for backup, archival or audit purposes before deletion;
Any outstanding Fees will become immediately due and payable;
All provisions of these Terms that are intended to survive termination will do so, including sections on intellectual property, confidentiality, limitation of liability, and governing law.
13.5 Downgrade to Free Plan
If you downgrade from a paid Subscription Plan to a free plan, you will lose access to paid features at the end of your current Subscription Period. If your Customer Content exceeds the storage or usage limits of the free plan, we may restrict access to or delete excess Content. You are responsible for downloading or removing any Content before your paid Subscription Period expires.
14. Force Majeure
Neither party will be liable for any failure or delay in performing its obligations under these Terms to the extent caused by circumstances beyond that party's reasonable control, including natural disasters, acts of government, internet or infrastructure outages, cyberattacks, pandemics or industrial disputes. If such an event affects Contona's ability to provide the Services, we will notify you as soon as reasonably practicable and take reasonable steps to minimise the impact. If the disruption is likely to be prolonged, you may terminate your subscription and receive a pro-rata refund for Services not yet received.
15. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales.
In the event of a dispute, we encourage you to contact us in the first instance at support@contona.ai so that we can seek to resolve the matter amicably. If we cannot resolve the dispute within 30 days, the parties agree to attempt mediation before commencing court proceedings.
Subject to the above, each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute or claim arising under or in connection with these Terms.
16. Assignment
You may not assign, transfer or sub-licence any of your rights or obligations under these Terms without our prior written consent. Contona may assign these Terms in connection with a merger, acquisition, corporate reorganisation or sale of all or substantially all of its assets, and will notify you of any such assignment.
17. General
17.1 Entire Agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy and any applicable DPA or Order Form, constitute the entire agreement between you and Contona relating to the Services and supersede all prior agreements, representations and understandings.
17.2 Changes to These Terms
We may update these Terms from time to time. We will post updated Terms on our Website and notify you by email at least 30 days before material changes take effect. Your continued use of the Services after that date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and cancel your subscription.
17.3 Severability
If any provision of these Terms is found to be invalid, illegal or unenforceable by a court of competent jurisdiction, that provision will be deemed modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
17.4 Waiver
No failure or delay by either party in exercising any right or remedy under these Terms will constitute a waiver of that or any other right or remedy. A waiver is effective only if given in writing.
17.5 Notices
All legal notices under these Terms must be in writing and sent to support@contona.ai (for notices to Contona) or to the email address associated with your Account (for notices to you). Notices are deemed received on the next business day after sending.
17.6 Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between the parties. Neither party has authority to bind the other.
